SERVICES AGREEMENT (PUBLIC OFFER)

This document constitutes a public offer from AdTape, represented by:
● Goloborodov Ilya Nikolaevich, Self-employed Individual, Tax ID 344692707375
● Pravdivtsev Roman Vadimovich, Self-employed Individual, Tax ID 230813476707
(hereinafter referred to as the "Service Provider") to enter into a service agreement under the terms set forth below.
1. SUBJECT OF THE AGREEMENT
The Service Provider provides the Client with digital marketing services:
● Website development
● Contextual and targeted advertising setup
● CRM and marketing automation implementation
● Brand development
The specific scope of services is determined by an additional agreement.
2. AGREEMENT CONCLUSION PROCEDURE
2.1. Acceptance of the offer is made by submitting an application through the website or by any other means of expressing consent to the terms.
2.2. The agreement is considered concluded from the moment the Service Provider receives acceptance.
3. COST AND PAYMENT
3.1. The cost is determined individually after project audit.
3.2. Payment systems (determined individually):
● Stage-based: 100% for each completed stage
● With advance payment: from 30% to 100% advance payment
● Combined: by mutual agreement of the parties
Specific payment terms are determined in the additional agreement to the contract.
3.3. Payment methods for international clients:
● Bank wire transfer (SWIFT)
● PayPal
● Stripe
● Cryptocurrency (Bitcoin, USDT, USDC)
● Other electronic payment systems by agreement
3.4. Currency: USD, EUR, GBP, or equivalent amount in other currencies by agreement.
4. OBLIGATIONS OF THE PARTIES
Service Provider:
● Perform services with high quality within agreed timeframes
● Ensure confidentiality of Client information
● Provide services in English or other agreed language
● Comply with international data protection standards
Client:
● Pay for services in a timely manner
● Provide necessary materials for work
● Notify of any changes in contact information or requirements
5. LIABILITY
5.1. The parties bear responsibility in accordance with Russian Federation legislation and international commercial law principles.
5.2. Service Provider's liability is limited to the amount paid for the service.
5.3. Force majeure events, including but not limited to international sanctions, banking restrictions, or government regulations, shall excuse performance delays.
6. TERMINATION
6.1. The agreement may be terminated by mutual consent of the parties or unilaterally with 10 business days' notice.
6.2. In case of termination, payment for completed work stages is non-refundable.
7. DISPUTE RESOLUTION
7.1. The parties shall attempt to resolve disputes through good faith negotiations.
7.2. If negotiations fail, disputes shall be resolved:
● For international clients: through international arbitration or mediation
● Applicable law: Russian Federation law
● Jurisdiction: Courts of the Russian Federation or international arbitration as agreed
8. INTERNATIONAL COMPLIANCE
8.1. The Service Provider complies with:
● Russian Federation legislation
● International data protection standards (GDPR principles where applicable)
● Anti-money laundering (AML) requirements
● Know Your Customer (KYC) procedures
8.2. Services may be restricted or unavailable to clients from certain jurisdictions due to international sanctions or local regulations.
